AI Addendum to the End User License Agreement

IMPORTANT - READ CAREFULLY: This addendum to the EULA ("Addendum") is a legal agreement between Licensee (either an individual or a single entity) and DbVis Software, which covers your optional use of DbVisualizer AI. All defined terms herein will have the same meaning as in the EULA.

1. Scope and Acceptance

This Addendum supplements the EULA and governs Licensee’s use of the optional DbVisualizer AI (the “AI Service”) within DbVisualizer. By clicking on the "I Agree" (or similar) button or by executing a signed copy after individual negotiation of the EULA - Licensee agrees to the following terms.

2. AI Service Functionality

The AI Service provides access to integrated large language models (LLMs), including but not limited to OpenAI and Anthropic. DbVis Software AB offers this AI feature for your convenience. It allows you to access one or more publicly available LLM’s from inside the DbVisualizer application, with the preset scope that you are working with databases. Which LLM(s) that is/are currently available will be displayed at startup.

The purpose of the AI feature in DbVisualizer is to aid in creating better SQL queries, including but not limited to:

  • Analyzing manually created queries for possible improvements
  • Creating queries from natural language
  • Identifying and remediating errors in SQL queries

Licensor reserves the right to change supported providers at any time. The AI Service is delivered on-premises but requires an active Internet connection to access third-party AI providers. Use of the AI Service is voluntary and may be deactivated at the system administrator level.

The AI feature in DbVisualizer will be made available at different levels, both in performance and in volume, depending on the license, and potentially a higher level for a fee.

3. Responsibility and Disclaimer

Licensor does not develop, control, or monitor the operation of the third-party LLMs offered via the AI Service. Licensee is solely responsible for:

  1. All data and prompts input to the AI Service;
  2. Any code or output generated by the AI Service (throughput and output);
  3. Assessing data security, retention, leakage risks, and correctness of output prior to use.
  4. Compliance with applicable laws and regulations when using the AI Service;
  5. Ensuring that any AI-generated output complies with Licensee's internal policies and industry standards before implementation or use.

Licensor expressly disclaims any liability for content submitted to, processed by, or produced by the AI Service, including but not limited to service interruptions, provider changes, data processing delays, or output inaccuracies. No warranty is made as to fitness for use, data privacy, output quality, service availability, or compatibility with third-party AI providers.

4. Data Processing

Licensee retains ownership of all prompts and data submitted to the AI Service. Licensor does not store or use Licensee input or results, except that it reserves the right to collect usage metadata to monitor, improve, and prevent abuse of the AI Service. All prompts and data are transmitted to the active AI provider, subject to that provider’s terms. 5. Abuse Prevention and Usage Control

To protect against excessive use and resulting costs (e.g., surcharges from AI providers such as OpenAI):

  1. Licensor may implement limits on the number or frequency of AI Service requests, which may vary based on the Licensee’s subscription level.
  2. Usage may be monitored for anomalies, and in cases of suspected abuse, Licensor may suspend or restrict access with or without prior notice.
  3. The Licensee shall cooperate with reasonable efforts by Licensor to investigate misuse or manage excessive use.

6. Prohibited Uses

Licensee shall not use the AI Service to: (a) generate content that violates applicable laws or regulations; (b) attempt to reverse engineer or extract proprietary information from AI providers; (c) submit prompts designed to circumvent AI provider safety measures; (d) generate content for illegal, harmful, or malicious purposes; or (e) exceed reasonable usage limits as determined by Licensor in its sole discretion.

7. Service Availability and Performance Portal

The AI Service is provided "as available" without any service level guarantees. Licensor does not warrant continuous availability, response times, or performance levels of the AI Service. Service interruptions may occur due to maintenance, third-party provider issues, network connectivity problems, or other factors beyond Licensor's control.

8. Third-Party AI Provider Terms

Licensee acknowledges that use of the AI Service involves transmission of data to third-party AI providers, each of which has its own terms of service and privacy policies. Licensee is responsible for reviewing and complying with such third-party terms. The specific AI provider in use is shown in DbVisualizer. Licensor makes no representations regarding third-party AI provider terms and disclaims any liability arising from changes to such terms.

9. AI Provider Flexibility

Licensor may, at its discretion, modify, expand, or discontinue any supported AI providers at any time - including, but not limited to, OpenAI and Anthropic - without advance notice to Licensee. Such changes may result in temporary or permanent unavailability of certain AI Service features. Licensee acknowledges that provider changes may affect AI Service functionality and agrees that Licensor has no obligation to maintain compatibility with any specific AI provider.

10. Limitation of Liability

Licensor’s liability for use of the AI Service is excluded to the greatest extent permitted by law. In no event will Licensor be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, output errors, business interruption, loss of profits, service downtime, provider discontinuation, data breaches by third-party AI providers, excess charges, or any damages arising from reliance on AI-generated output. Use of the AI Service is entirely at Licensee’s own risk.

11. Termination

Licensor may suspend, restrict, modify, or terminate the AI Service (or Licensee’s access thereto) for any breach of this Addendum, suspected misuse, non-payment of relevant subscription fees, changes in third-party AI provider terms, excessive usage, or for any other reason in Licensor's sole discretion. Expired or perpetual licenses without active subscription will not have access to the AI Service. Licensor may also discontinue the AI Service entirely with or without notice.
